2. Scope of services
Services may include SEO, AI-search optimisation, website design, advertising support, social media, automation, design, video editing, reporting, and related consulting. The exact scope, deliverables, timeline, responsibilities, fees, revisions, exclusions, and success measures are defined in the written proposal, invoice, email confirmation, or contract accepted by the client.
3. Proposals and changes
Website descriptions and starting prices are general examples. Work begins only after the scope and payment terms are agreed. Requests outside the agreed scope may require a revised timeline and additional fee. Changes are not included until accepted in writing.
4. Client responsibilities
- Provide accurate information, approvals, content, brand assets, and access on time.
- Confirm that supplied materials may legally be used.
- Maintain appropriate backups and account security.
- Review deliverables and report issues promptly.
- Pay platform fees, advertising spend, hosting, domains, tools, licences, or subscriptions unless the proposal states otherwise.
5. Payments
Deposits, milestone payments, recurring fees, currencies, taxes, and due dates are stated in the proposal or invoice. Work may be paused when payment is overdue. Third-party charges and completed work are generally non-refundable, subject to the Refund Policy and any signed agreement.
6. No guarantee of performance
AlgorithmOptix IT does not guarantee rankings, traffic, leads, revenue, advertising approval, conversion rate, platform access, or a particular time frame. Search engines, advertising platforms, competitors, websites, budgets, markets, tracking systems, and client implementation can change outcomes.
7. Advertising and platform accounts
Advertising platforms may reject, restrict, suspend, or change campaigns and accounts. The client remains responsible for the legality and accuracy of offers, products, claims, landing pages, and data supplied. Ad spend should normally be paid directly by the client to the platform.
8. Intellectual property
After full payment, the client receives the rights described in the proposal for final custom deliverables. Pre-existing methods, reusable code, templates, know-how, licensed assets, third-party software, and platform materials remain subject to their original ownership and licence terms. Portfolio use requires client permission where confidentiality or identity is involved.
9. Confidentiality and data
Reasonable steps will be taken to protect confidential client information. Personal data is handled according to the Privacy Policy. Clients should not send passwords or highly sensitive information through ordinary contact forms or unsecured messages.
10. Suspension and termination
Either party may end an engagement according to the written proposal. AlgorithmOptix IT may pause or terminate work for non-payment, unlawful instructions, abusive conduct, repeated lack of cooperation, security risk, or material breach. The client remains responsible for completed work and non-recoverable costs.
11. Liability
To the extent permitted by applicable law, AlgorithmOptix IT is not responsible for indirect, incidental, special, or consequential losses, lost profits, platform decisions, third-party failures, data supplied by the client, or changes made by others. Any direct liability is limited to the amount paid for the affected service during the relevant engagement, unless a signed agreement or applicable law requires otherwise.
12. Governing law and disputes
These terms are governed by the applicable laws of Bangladesh unless a signed agreement states otherwise. The parties should first try to resolve disputes through good-faith written communication.
